Terms of Service (forVEX / forVEX Deal)

1) Who may use the Services

You must be at least 18 years old and able to form a legally binding contract to use the Services.

2) Beta / testing disclaimer

The Services are currently offered free during testing (“Beta”). During Beta:

• Features may change or be removed.
• Data may be reset.
• The Services may experience downtime.

We are not liable for issues caused by Beta instability (see Sections 10–12).

3) Your account

You are responsible for:

• Maintaining the confidentiality of your login credentials
• All activity under your account

You agree to provide accurate information and not impersonate others.

4) What the Services do (and do not do)

forVEX Deal helps you organize and analyze real estate deals, including underwriting inputs, assumptions, and outputs.

Not financial, legal, or tax advice. The Services provide tools and informational outputs. You are solely responsible for your decisions, due diligence, compliance, and outcomes.

5) Your content and data

“User Content” includes information you submit to the Services (e.g., property addresses, deal notes, budgets, photos you upload, and other deal-related information).

You retain ownership of your User Content. You grant us a limited license to host, store, process, and display your User Content only as needed to operate, improve, and provide the Services.

6) Acceptable use

You agree not to:

• Use the Services for illegal activities
• Upload malicious code, attempt to hack, or interfere with the Services
• Access data that is not yours or attempt to bypass security or authorization controls
• Use the Services to violate privacy or solicit sensitive personal data improperly

We may suspend or terminate access for violations.

7) AI features

Some features may use AI to help generate suggestions or summaries. AI outputs:

• May be incorrect or incomplete
• Should be reviewed before use

You are responsible for verifying outputs and ensuring they meet your needs and compliance obligations.

8) Third-party services

We use third-party providers to run the Services (for example: hosting, databases, email delivery, AI processing). Your use of the Services may be subject to those providers’ terms where applicable.

9) Feedback

If you provide feedback or suggestions, you grant us the right to use them without restriction or compensation.

10) Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

11) Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, COBB RESOURCE GROUP WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICES.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED $100.

12) Indemnity

You agree to defend, indemnify, and hold harmless Cobb Resource Group from claims arising out of your use of the Services or your User Content, including violations of these Terms or applicable law.

13) Termination

You may stop using the Services at any time.

We may suspend or terminate your access at any time if you violate these Terms or if required to protect the Services, other users, or legal compliance.

14) Changes to these Terms

We may update these Terms from time to time. We will update the Effective Date and post the revised Terms. Continued use of the Services after changes means you accept the updated Terms.

15) Governing law

These Terms are governed by the laws of the Commonwealth of Kentucky, without regard to conflict of laws principles.
